I have done some digging around and I can't see any negative news (not saying there is nothing out there, just that that is unlikely)

This seems to be some institutional play. I wonder if these guys trying to squeeze out someone going out of business or is there some negative talk from one of the analysts behind the scenes.

Just to follow up on the S&P outlook...I couldn't find any confirmation on the S&P site on creditwire. Anyone have this on their bloomberg terminal or other? The news was dated yesterday.
