SEG shares post-split

As of April 11, 2000

Seagate Technology, Inc......... 4,082,748 {6.14%}


Look at the share volumes this week and you will see that Seagate had ample opportunity to dump the majority of the remaining shares. I understand that they had about 6% of outstanding shares (~4 million) at the time of the last proxy filing. I suspect they have sold a significant portion of those 4 million shares this week. Once they fall below 5% they no longer need to file their intentions to sell with the SEC. That is, they could sell about 3.3 million shares without giving any notice.

There were several days this week when this scenario could have been fulfilled. I think Merrill Lynch feels the same way.

Would it be asking too much for someone to call SEG and ask if they still own SNDK shares? The worst they could say is "buzz off" (indicating they still have shares) or "were done" (indicating they're done).

Sorry for being repetitive.

Since April 11, 2000 they have filed to sell an additonal 1.0+ million shares bringing the total to 2.9+ million shares. Once they fall below about 3.3 million shares they no longer need to file with the SEC.

I predict you will see no more SEC filings.

We did something close to close to 18 to 20 million shares (yes, 18 to 20 million shares) this week if my memory serves me correctly. I think that says it all. Also, Merrill Lynch is saying "c'mon in, the water is fine..."

And at these prices you can't blame them.
(Hate to be short on Tuesday morning with Merrill Lynch, First Union, Value Line, etc... all offering favorable opinions.)

It will be an update including miletones over the last year (both positive and negative) and will incorporate new information regarding SanDisk's business model, competition in the removable memory market, and new opportunities.

As I stated earlier, SanDisk is now 10 times the company it was when we were at this same share price last Summer.

I hope my presentation supports this contention.
