Good post Pawan!

It must be nice to have management like SGI that returns value to the shareholders. By spinning off their MIPS shares and distributing them directly to the shareholders there is not even the 15% penalty that VRTS is collecting.

The only problem I can see with SEG doing the same is that they couldn't force the shareholders to allow selling their complete operations, other securities and cash for only $2 billion dollars. They need the deal to be much more complex and they need the deal to seem like the only possible solution. This is the only way SEG can get shareholder approval to achieve their primary goal, bigger fortunes for the management and friends.
