According to the 1999 year-end 10-K Tyco owned 9,244,297 shares [15.9% of total] as of 12/31/1999. TYC also had the right to convert debt [from 4/95] into 3,419,977 shares and had warrants [from 11/96] to purchase 2,765,487 shares. In addition, Tyco has exchanged the balance of the outstanding debt for 1,030,000 additional shares. Today's press release indicates that all three of these are now in effect.

The 3/31/2000 10-Q states that there were 42,083,613 shares outstanding on that date. Adding the above three blocks of shares brings the total shares outstanding to 49,299,077 as of today. Tyco's total ownership is now 9,244,297 + 3,419,977 + 2,765,487 + 1,030,000 for a total of 16,459,761 or 33.4% of the outstanding shares.

It is interesting to note that according to the 1999 10-K Dr. Aslami owned 9,591,769 shares [now 19.5%] and Mr. DeLuca owned 6,286,360 shares [now 12.8%]. Tyco is now clearly the majority stockholder.
