EarthLink Completes OneMain.com Acquisition

Acquisition of Top 10 Internet Service Provider Increases Presence Across Rural America

ATLANTA--(BUSINESS WIRE)--Sept. 12, 2000--EarthLink (Nasdaq: ELNK - news) today announced the completion of its acquisition of Reston, Va.-based Internet Service Provider, OneMain.com, following this morning's approval by OneMain's shareholders.

The purchase increases EarthLink's presence in smaller metropolitan markets and communities across rural America -- one of the fastest growing segments of Internet users.

With the completion of this acquisition, OneMain (Nasdaq: ONEM - news) has been de-listed from the Nasdaq national market. Under the terms and conditions of the transaction, OneMain shareholders will receive $5.964 in cash and .3562 of a share of EarthLink common stock for each share of OneMain common stock. Based on EarthLink's Sept. 11, 2000, closing price of $11.50 per share, the acquisition is valued at approximately $262 million.
