There's a couple of threads dealing with shells on this and RB. Happens all the time. Basically, there is value in going public with a clean "shell", particularly if all filings are in order and there aren't a lot of liabilities. It apparently is cheaper than going through formal registration and an IPO. In a bad market for IPO's such as this, then the value goes up.
