Investor Relations

The Investor Relations section of PanAmerican BanCorp's Web site was created to provide shareholders with official statements from the Company. Any and all correspondence received by PanAmerican will be answered, via an official statement, at this location by members of the management team.

What is the status of the filing?
PanAmerican Bancorp, Inc., in conjunction with our independent auditors, Covati and Jahnsen, CPA's, P.C., have been aggressively proceeding with the task of completing the audited financials by the earliest date possible. The most recent status of our financials, according to the firm of Covati and Jahnsen , CPA's. P.C., is that all tasks that involve proprietary information under the direct control of PanAmerican are being audited. The consolidated financials for PanAmerican and all subsidiaries, are dependent on some information being supplied by third parties which have yet to be received. In addition, prior to the consolidation of the PanAmerican books last summer, certain information was kept at remote locations. This information must also be obtained and verified. These items are needed to complete the audit and have resulted in the delay in completing the filing process.

Lastly, the June 15th date represented the deadline imposed by the SEC for all remaining OTC:BB companies yet to file their audited financials. This date has no relevance or impact on PanAmerican BanCorp as we no longer trade on the OTC:BB. While we hoped to have had this task completed by this point in time, we fully intend to have the audited financials completed by the earliest possible date in order to qualify to regain OTC:BB status.

As an investor, what did you do with my money?
When you purchase stocks in the open market the money goes to the seller of the stock, not the company. The company will receive money from investors through a public offering. PanAmerican received some money through private offerings to qualified, accredited investors. We have not to date, done any public financing. Some anonymous posters on so called stock threads would have unknowing investors believe that the company is taking their money and abandoning them. While in truth, the poster might very well be the recipient of these investor?s funds. I would advise anyone who does not understand investing to stay out of the market; and anyone who uses money that they cannot afford to lose, to stay away from the speculative markets.

What is PanAmerican going to do about the bashers?
It is company policy not to respond to anonymous postings. The stock threads are a dangerous place for anyone to educate themselves about a company. We believe that anyone interested in investing in a company should perform their own due diligence. Start-up companies, such as PanAmerican, are speculative and carry a high degree of risk. In the past, investors looking to make a killing in the market took risks on pink sheet or OTC companies with hopes they would make it. With the advent of dot com billionaires, average people are being lured by the IPO hype and incredible returns that have happened. We should caution everyone that these returns, while highly publicized, are far from the norm. Anonymous posters can lead people to buy or sell stocks through repeated and constant information, misinformation or disinformation. PanAmerican has repeatedly stated that only information posted on its Web sites or released by the Company should be relied upon. We will repeat this warning again and again. As for the bashers, we will continue to do our best to organize, operate and grow the Company to increase revenues and add shareholder value, that will be our answer.

What is CodeCare?
CodeCare Practice Management System has been organized with the intent to introduce a retrospective payment audit and compliance program to review doctor's insurance payments for the detection and recovery of any inappropriately denied or underpaid reimbursements.

Did PanAmerican declare a dividend last year?
Financial information prior to March 8, 1999 reflects the activities of Pacific Capital BanCorp. PABN was assigned to Pacific Capital before being assigned to PanAmerican BanCorp

What activities are going on in Argentina? PanAmerican Buenos Aires was specifically established to package mortgage portfolios to be sold into secondary market and originate mortgages to be sold into the secondary market.

What is Key States all about?
Pan American BanCorp has packaged all of its financial services offerings under KeyStates Holding, Inc. The goal of KeyStates Holdings, Inc. through its FirstStates Financial, KeyStates Bank, and CodeCare entities, is to provide diversified financial services supported by advanced interactive and Internet communications to ensure quality customer service. This will enable the Company to deliver greater product customization with enhanced service.
