Chris - the why's are that the public marketplace is full of unsophisticated investors and therefore 100% of those companies which are dishonest access financing there. That is not to say that honest companies never do - just that it's an indicator.

Then one ought to look at the reputation of the underwriter of the stock offerings. Are they a known, solid and reputable firm? What has been the success of their public offerings?

This one is another strong indicator. In general, we make judgments as to the quality of individuals we meet, based on their associates, their past behavior, their demeanor.

One can do the same with companies with great success.
