Macrovision and GLOBEtrotter Software Sign Definitive Acquisition Agreement

During the due diligence process the two companies assessed various <26>accounting policies and procedures, and revised treatment of revenue accounting policies and procedures, and revised treatment of revenue recognition to comply with the requirements of SEC Staff Accounting Bulletin No. 101. The acquisition is expected to be nominally accretive to Macrovision's earnings before acquisition-related charges in 2000. According to International Data Corp. (IDC), by 2003 over 50% of software sales revenues will be derived from electronic licensing, and virtually all software sales revenues will be derived from electronic licensing by 2008. Software vendors have, to date, shipped over $40 billion worth of software using GLOBEtrotter's flagship FLEXlm(TM) electronic licensing technology, the recognized de facto standard for license management.
