March 22, 2000 GoTo.com, Inc. expanded its affiliate network with a two-year agreement with Go2Net, Inc. Effective this month, users of MetaCrawler and Dogpile, both of which obtain their results by simultaneously searching multiple leading search engines and directories, will have access to GoTo.com's relevant search results. Under the agreement, GoTo.com will pay Go2Net an undisclosed amount to extend its search results to Go2Net's metasearch services.
-------------------------------------------------------------------------------- March 20, 2000 Go2Net, Inc. and FindWhat.com, operator of a pay-for-position Internet search engine offering performance-based Net advertising services, announced a comprehensive distribution agreement. As part of today's agreement, Go2Net will receive warrants to purchase 725,000 shares of FindWhat.com common stock at an exercise price of $5.50 a share. The warrants represent approximately 5% of the outstanding FindWhat.com common stock on a fully diluted basis. From a distribution standpoint, Go2Net will include FindWhat.com search results in its metasearch services, MetaCrawler and Dogpile.

January 20, 2000 Go2Net, Inc. and Primecom, Inc., publisher of QuickSite Web design software, announced an agreement that will provide free Web hosting services to Primecom's small business customers on Go2Net's HyperMart Network, an Internet community of small businesses.

October 4, 1999 Go2Net, Inc. announced the formation of a new company, Broadband Partners, which is a joint venture among Go2Net, Vulcan Ventures, Inc., Charter Communications, RCN Corporation, and High Speed Access Corporation. Broadband Partners is being created to provide Internet portal services initially to customers of Charter Communications and RCN, and potentially to other MSOs in the future. Go2Net will own a minority equity interest in the joint venture.
August 4, 1999 Go2Net, Inc. acquired Dogpile LLC, operator of an online meta-search service, for $40 million in stock and $15 million in cash. Go2Net said it will use Dogpile's search technologies for its HyperMart and Virtual Avenue free business hosting services, as well as other areas of its network. The company said the technologies will allow users to search for specific businesses or business categories.
-------------------------------------------------------------------------------- July 8, 1999 Go2Net, Inc. announced a comprehensive licensing agreement with Intershop Communications, Inc., the leading supplier of sell-side electronic commerce hosting solutions. Under the agreement, Intershop will provide easy-to-use, browser-based interfaces for setting up online storefronts to members of Go2Net's HyperMart (http://www.hypermart.net ) and Virtual Avenue ( virtualave.net ) business hosting services.

July 7, 1999 Go2Net, Inc. and Vulcan Ventures Inc. intend to invest $20 million in cash in CommTouch Software Ltd., a provider of partner-branded, Web-based e-mail services. Go2Net said it intends to enter a business relationship with CommTouch in which CommTouch will develop enhanced e-mail and related services for the Go2Net network. The transactions are contingent upon the closing of CommTouch's initial public offering.
-------------------------------------------------------------------------------- July 1, 1999 Go2Net, Inc. acquired Authorize.Net Corp. a payment authorization service for online businesses, for $90.5 million in cash and stock. The purchase price consists of $77 million in Go2Net stock and $13.5 million cash. The price is subject to increase, based on Authorize.Net's achievement of certain performance milestones over the next two years, Go2Net said. Go2Net said the acquisition brings it a critical component in its ongoing development of end-to-end commerce systems for its HyperMart and Virtual Avenue business hosting services.

May 14, 1999 Go2Net, Inc. announced the acquisition of IQC.com for approximately $20 million in Go2Net stock. The transaction is effective immediately and brings Go2Net a powerful suite of free and subscription-based financial analysis and real-time charting services, which it will fully integrate with Go2Net's Silicon Investor.

Go2Net said it also acquired the USA Online directory of business Web sites as part of the transaction and will add it to its Hypermart business hosting service. Go2Net said Virtual Avenue will add more than 85,000 member businesses to the 190,000 businesses in Hypermart.

Fleet Credit Card Services, Horsham, Pa., is part of Fleet Financial Group Inc. Allen, co-founder of Microsoft, through the sale of convertible preferred stock to Vulcan Ventures Inc., Mr. Allen's investment organization. As part of the transaction, Vulcan Ventures entered into agreements to purchase 1.4 million Common shares from Go2Net's executive officers and directors, and agreed to begin a tender offer to purchase up to 3.6 million Go2Net's shares at $90 each. Assuming that all of the shares tendered for are purchased and the preferred stock sale is completed, Mr. Allen will own approximately 54% of the Company's Common shares outstanding, assuming conversion of the preferred stock.
