New York, Jun 26, 2000 (123Jump via COMTEX) -- Commerce One and SAP announced a
partnership Tuesday, that allows SAP to bring its Enterprise Resource Planning
(ERP) software online with Commerce One, the largest online business-to-business
network in the world. SAP is the largest provider of ERP software in the world,
and Commerce One has the largest online B2B trading platform. Although SAP had
made an original investment in Commerce One last year prior to Commerce One's
IPO, SAP has since developed its own online software called mySAP.com. The deal
with Commerce One comes after an internal shake-up to expand more aggressively
into the Internet marketplace, since mySAP.com seemed to lag behind the
competition. JP Morgan reaffirmed its recommendation of "buy" on both stocks
after evaluating the partnership.

Terms of the deal include: Integration of SAP's e-business application with
Commerce One's Marketsite portal platform; current Commerce One users will not
be forced to use a new product; SAP will make an undisclosed cash down payment;
SAP will buy $250 million in unregistered Commerce One shares, increasing its
stake in Commerce One from 1% to just under 4%. Both companies will share
royalties over a 3-year term - pricing to include license and recurring service
fees. The new product will be jointly developed and marketed.
