Effective January 1, 1997, the Company and Willard Harpster ("Harpster")executed a Consulting Agreement covering financial services associated with the development of a comprehensive business plan, future acquisition strategies, capital development and fund raising. The Company requested in 1997 and 1998 numerous consultations with Harpster for advice to inhibit short selling of the Common Stock, for review of the Common Stock sales and trading compliance, and for advice in development of its business plan for presentation to capital markets.
