True, you are correct.

But I have been involved in one of these deals before where we bought a company for stock. (not financing) The stock was at an all time high at the time. The contract in my desk wont't allow the parent of the sub to short for 180 day's. (one of the provisions of the deal)

I bet the ITRA financing deal has a similiar provision. (of course you can alway's short by breaking the contract)

One other thing, if the preffered holder shorts now, doesn't he/she have to hold his short for two years? If the stock runs the holders of the original shares may sell and the preferred holder may have to buy stock on the open market at higher prices to cover the short. The gain of 3.7M now could be very costly.
