The prospectus on form SB-2 is *not* effective when it is filed.

The SEC will review it, on a time scale of a couple of weeks. It could either deem it effective then, or more likely send back comments to the co. that require the co. to file an amended prospectus on form SB-2/a. The latter step might happen several times, depending on how good the company's lawyers are, in preparing the prospectus.

I don't know why the prospectus was also filed on a form 424, for a shelf registration, a few days later. But I don't think that changes anything re. the SEC review process.

I'm 99% sure the registration is not yet effective. It won't be for a least a few weeks, and possibly a couple of months.

In this review process, I don't think that the SEC usually undertakes a forensic examination for any wrongdoing by management. The review just makes sure that all the required info is included in the format that is required. Eventually the SEC will deem the registration effective, and that is not equivalent to saying that the SEC has somehow blessed the stock.
