Existing PVO shareholders will hold shares in both companies.

As for the cash, that's a very good question.
My guess is, a large portion of the kiddy will form part of the tech deal with a small portion going to the new resource company.

If existing warrants and options get exercised, the total kiddy is about 11 Mil.
