Yes it does. However, the basic premise of a takeover is as simple as I explained it to be. The deal risk is defined by the premium above the current price that is as yet unrealized.

I agree that it seems other suitors are there if this doesn't get approved. Again, those other suitors are NOT going to wait around, they know they need to fill holes in their product lines, so off they go NOW to do so.

In 3 or 4 months, when the short hairs are exposed on this deal, some of those suitors will have snapped up the second and third tier plays, and there is just a potential that there just might not be a suitor then with deep pockets.

Again....buying SDLI seems like a no brainer, but if it was, it would trade religiously at 3.8 times JDSU minus the free interest rate offered now (assume 6%). Since it is not, there is definable risk.
