JDSU, SDLI, E-Tek to Beat Street Estimates

NEPEAN, Ontario (Reuters) - After announcing its $41 billion stock purchase of rival SDL Inc. (NasdaqNM:SDLI - news) on Monday, JDS Uniphase (NasdaqNM:JDSU - news) said preliminary results indicate that sales and earnings for JDS, its recently acquired E-Tek unit and SDL will all beat street estimates.

``The proforma consensus estimates for the recently completed June quarters of JDS Uniphase, E-Tek and SDL add up to sales at a $2.7 billion annual run rate,'' Tony Muller, JDS chief financial officer, told a conference call.

``Further, the preliminary results for the quarter for each of these three companies is that sales and income were higher than investment community estimates.''

Fiber optic equipment maker JDS -- which is offering 3.8 JDS shares for every SDL share -- said the purchase of SDL will add to earnings from the close, which is expected in December pending shareholder and regulatory approvals. And it is ''optimistic'' that the merger will be approved by the U.S. Justice Department, executives said.

There are no deals committing major SDL or JDS shareholders to agree to the buyout since both companies are widely held, but if the deal is not consummated, SDL must pay JDS a break-up fee of $1 billion, JDS executives told the conference call.

Jozef Straus, JDS Uniphase co-chairman and chief executive, said that SDL chairman, president and chief executive Don Scifres -- who actually tried to hire Straus in 1979 -- will join the board of JDS as co-chairman.
