Steve, I just listened to the conference call. In the part where they (Don?) answered the question, the response said the billion was if the deal was broken up and SDLI was acquired by another company. So I think it's specifically designed as an anti-welch clause against SDLI. After all, there's no assurance that the DOJ will approve the merger, so it doesn't make sense that SDLI would provide insurance against that.

BTW, I recommend listening to the CC if you haven't heard it. I got the sense that they were very serious about the deal. I was impressed by the lawyer dude from JDSU.
