The predecessor of the Company, also named Axonyx Inc., was incorporated in Delaware on September 16, 1996. Reference to Axonyx Inc. herein refers to the historical Axonyx Inc., a Delaware company unless the context otherwise requires. On December 28, 1998 Axonyx Inc. merged with Ionosphere, Inc., a Nevada corporation incorporated on July 29, 1997. After the merger, Ionosphere, Inc., the surviving Nevada corporation, changed its name to Axonyx Inc. On a post merger basis, the business of Axonyx Inc. became the business of the Company. The management and board of directors of Axonyx Inc. became the management and directors of the consolidated company and shareholders of Axonyx Inc. held 89.11% of the outstanding shares of Common Stock of the consolidated company.

On April 3, 2000 the shares of common stock of Axonyx began trading on the Nasdaq SmallCap Market under the stock symbol AXYX. Prior to that date the shares of common stock of Axonyx were traded on the OTC Bulletin Board.
