>WASHINGTON, July 14 (Reuters) - Israeli wireless networking equipment maker BreezeCOM Ltd. <BRZE.O> filed with U.S. regulators to sell 4.3 million shares of common stock.

BreezeCOM said in a filing made with the U.S. Securities and Exchange Commission that 2.15 million shares will be sold by its stockholders.

It plans to use the $84.7 million in net proceeds it expects

to raise from 2.15 million shares it will sell to continue financing its business and for general corporate purposes, the filing showed.

There will be about 27.8 million shares outstanding in the Tel Aviv-based company after the secondary offering.

CIBC World Markets, Dain Rauscher Wessels, U.S. Bancorp Piper Jaffray and Prudential Volpe Technology, the underwriters managing the offering have been allotted 645 extra shares in the event of heavy demand.

Shares of the company, whose wireless products are used for high-speed connectivity to the Internet, closed up 5-1/2 at 46 on the New York Stock Exchange.

They have a 52-week high of 51 and a low of 19-1/4.
