"The process of putting our two companies together and the potential Entegris represents

have had the pleasure to work on in my business career. The industries we serve now
have the best of both company's people,
experience and resources working together to support them worldwide," stated Dan
Quernemoen, Entegris Board Chairman.

Entegris, is the result of today's finalized merger between Colorado-based EMPAK and
Minnesota-based Fluoroware. Entegris
will come quickly to center stage in the materials industry as a vibrant new critical
materials management company positioned for
growth and service excellence, and supplying key high-technology industries. Company
executives believe this merger of strengths
will have the resources to bring greater capability in operations and product support to its
global customers.

With several award-winning products currently in production and over 50 years of
combined experience, Entegris begins its
journey as a global leader in many areas, including new carrier architectures for 300-mm.
The merger also brings with it a
significantly increased manufacturing capability that provides the global infrastructure to
meet increasing customer requirements
across multiple critical materials handling disciplines.

Initially the company is being organized into five operating businesses servicing key
technology industries. Critical Fluid
Management (CFM) provides fluid handling strategies and solutions to the semiconductor,
pharmaceutical and chemical processing
industries; Electronic Shipping Products (ESP) provides materials management for wafers
and memory disks during fabrication
and shipment; Wafer Management (WM) provides wafer management solutions for wafer
processing, handling and storage; Test,
Assembly and Packaging (TAP) provides products for the conversion of wafers to
finished products and end customer
applications; and the Private Label (PL) business custom manufactures products for the
semiconductor and other key technology
driven industries.

With 17 manufacturing facilities worldwide and 70 sales and service offices on six
continents, Entegris will be able to exercise an
extensive supplier network, deliver products and services globally and participate actively
with local customers.

"This is a very exciting day for everyone-employees, distributors, customers and the
industries we serve. This merger of strengths
reflects our belief in the continuing growth of the critical materials management market
and the growing global need for innovative
companies to provide solutions from production to consumption," stated Del Jensen,
Entegris Executive Vice President.

"As the global use of critical materials increases, the demand for strategic manufacturing
locations and a solid distribution network
to manage those materials becomes more apparent," stated Stan Geyer, Entegris CEO.
"Entegris is ready to meet that challenge
with a team of values driven people dedicated to seeing our customers enjoy the benefits
of an extensive worldwide
infrastructure."

"We are dedicated to continuing to build a globally successful business based on
relationships and integrity," stated Jim Dauwalter,
Executive Vice President. "In every market we serve, Entegris will be a leading supplier
within our customers' value chain. At
Entegris, we feel understanding our customers' total requirements makes us more valuable.
We want to be more than just a
supplier to our customers. We want to be a total business partner."

The name Entegris is derived from the Latin word integritas, meaning "soundness,
complete or undivided," and the word
excellence. The new company will have a combined employment of 1,500 personnel and
