Why would they issue a secondary? They have more than enough cash as it is imo.

You can never have too much money (with the exception of the Japanese). The theory behind doing this is that the shares grabbed by the funds will not be recirculated on the market, so it is like a "black hole". A company may look on this as a cheap way to raise decent cash. QCOM did this last year to the tune of 1BB. The trick is to spend it on something smart. Hopefully JDSU can do a bit better than QCOM in that dept.
