Winspear Diamonds has been granted a hearing before the British Columbia Supreme Court regarding certain deficiencies in De Beers’ takeover bid circular dated July 6, 2000.
Winspear alleges that the De Beers’ circular contains misstatements about De Beers’ right to use a compulsory acquisition procedure under the Company Act (British Columbia). These deficiencies are noted in Winspear’s directors’ circular dated July 16, 2000. Winspear seeks, among other things, an order requiring correction and recirculation of the De Beers offering circular. Hearing of the matter is scheduled for 9.45 a.m. on Monday, July 24, 2000.
Winspear’s board of directors recommends that shareholders make no decision with respect to the De Beers’ offer until after the outcome of the hearing before the British Columbia Supreme Court is known. Winspear’s board of directors has extended the “separation time” of rights under its shareholder rights plan to Thursday, July 27, 2000, unless further extended by the board of directors. The separation time refers to the time the rights separate and trade apart from the common shares.
