It makes it very clear to the most obtuse hagfish that they are on the hook for serious royalty payments. They will definitely be paying QUALCOMM the regular 5.6% royalty [or whatever it is] and they will definitely be swapping some yummy technology with SpinCo since SpinCo will have essential intellectual property, unavailable from QUALCOMM as well as handy technology which is tantamount to essential if the WWeb gadget maker actually wants to sell their device = SnapTrack. What will be tricky is in a year or three from now when SpinCo starts developing really good technology and they decide to start charging for it [though they might just keep it for themselves to boost their ASIC sales]. Then they will be share-bargaining with QUALCOMM. For example, suppose a newcomer with no IPR to swap with SpinCo wants to go into the WWeb business. Q! will tell them the usual 5.6%. But they will say, "Hang on, we've just been to SpinCo and they are sticking us 10% for the flash new technology they have, bundled together with the essential CDMA IPR which you gave them a couple of years ago. That means we are going to have to pay 15% compared with Nokia and that W-CDMA gang who did a swap with SpinCo who are only paying you 5.6% and getting the SpinCo new stuff for only 3% with some of it swapped. We can't compete!! So you need to cut your IPR down to 2% if you want us to get into the market because SpinCo won't budge on theirs". Apart from that fragmentation and multifaceted negotiation which makes things more difficult, the JJJ Klan are going to feel aggrieved. Janet, Joel and Jackson would have been rubbing their hands at the prospects of carving up Q! like they have done to Microsoft. Now Q! is self-fragmenting, robbing the JJJ Klan of their rightful share of the profits. But hang on! SpinCo is leveraging a monopoly on some CDMA components into ASIC sales, so there is still plenty for the JJJ Klan to do. They can slice and dice QUALCOMM and SpinCo into a hundred little pieces to avoid this nasty, consumer-damaging monopolistic leveraging. Meanwhile, all good fun and the share buyers obviously thought it a good move. I notice that QUALCOMM has got all the Globalstar components still inside the tent.
