With so many shares to unload, TI needs to sell while the public and funds are still willing to buy - even if that means leaving some money on the table. Without willing buyers, the price would collapse under the weight of 37M shares for sale.

As for your comments re: fundamentals - you could make almost all of those statements re: the capacitor biz also. Yet look at where AVX, KEM and VSH are selling. Their PEs are more typical of companies approaching a cyclical top than MU's PE is.
