The upgrade version will install onto a empty hard drive, but it will require that you have the Win95, Win98 or NT CD available for a license check. microsoft.com As far as I know, it's legally OK to use the upgrade version on a brand new PC if you had a Windows license for the old PC and you're retiring the old PC.
