RE: Quiet periods

Note that 'quiet periods', whether for earnings or IPOs, is entirely motivated by the company. There is no law or SEC mandate that compels a company to have a quiet period.

That said, there is a certain justification for a company to let the prospectus do the talking in the instance of an IPO, and thus avoid any appearance of promoting the issue. I can find little justification for an earnings quiet period, OTOH, and it usually is just a cop out by the company that uses the excuse.
