It is quite standard practice to create such subsidiaries to exploit technology outside to main focus of the company. This process has numerous advantages, depending on how it is funded. One advantage, if holding less than 50%, for instance is the ability to carry on R&D "off the book" of MVIS (the expenses will show as "investment" or things like that. As an independent sub it is also easier to get in bed with joint ventures with organizations having marketing muscle outside the main area of interest of MVIS and get such partners to shoulder the majority of expenses.

By the way, I used the swoon down today to get back in.
