I understand that there should be a discount in case the deal does not go through.

It just seems like an outrageous difference.

SDLI was a fairly solid stock before this all happened. I think most people feel that if the deal does not go through SDLI may lose 20-30 points.

But if the deal does go through you gain 124 points.

Wouldn't you agree that is a almost unreasonably strong bet that the deal will not go through?
