They would not have signed the agreement if they had no need to do so.

Not true. They wouldn't have signed if they had no "motivation" to do so. Apparently Rambus provided them with some "motivation", though the price action this morning indicates that "motivation" is becoming less valuable than it was a few weeks ago.
