With all the licensing negotiations Irwin has done over the years, I trust him to transfer the appropriate IP to SpinCo.

If necessary, SpinCo could press the issue and let some court decide the value of its patents versus some GSM company that is in the pool. I doubt that the court would be left with any choice other than to recommend a fair swap. In other words, a x-license deal is a probable outcome for such a legal battle.
