I will swap a single IP for SpinCo's CDMA IP, and I will swap the others with Qualcomm's, regardless to whether Qualcomm makes any ASIC or not.

No you won't because Qualcomm won't swap. License only. Qualcomm doesn't want your GSM IPR. only Spinco might.
You can't make Qualcommm swap for something they don't want.

ikj. You seem to not understand the reality of the situation. QCOM just can't swap its valuable IPR for GSM IPR it doesn't need. Doing so would lkely result in a shareholder derivative action suit. You have to understand that companies are legally bound to persue the best interests of their shareholders.
