Greg, an earlier post either here or Yahoo made some reference to a rule that says that in order to have a tax-free spinoff, the division has to have been largely owned by the parent for some number of years prior, which would rule out OA since both Jolt and AstroTerra are new acquisitions.

Are you aware of any such requirement?
