Why do you think that SPINCO would want to enter the formal patent pool? If QCOM gives SPINCO an appropriate subset of CDMA IPR, every pool member will need to reach a royalty-free bilateral cross license agreement with SPINCO in order to ship any CDMA technology for which they do not already have rights. At the same time, the complementary subset of CDMA IPR that QCOM retains will generate the same royalty amounts that the entire set of CDMA IPR did before for QCOM with no spinoff. If someone takes one of your car's tires hostage, the ransom negotiations to restore the value of your car's mobility would be exactly the same as if all four of the tires had been taken instead.

Any successful IC for W-CDMA will require the rights to a number of patented technologies, including both CDMA and GSM, to ship at all.

Just an opinion based on a rather superficial knowledge of recent press releases.
