The offer is based on acquiring 100% of the outstanding shares of TCMV as of July 31st, 2000. TCOM has 25.9 million shares outstanding with the aggregate purchase being $77,700,000, which equates to $3.00 per share. The offer also stipulates that the acquiring company's Chairman will continue to serve as the Chairman of the Board of the merger. Dr. James C.
