It is most unusual for an OTCBB company to have an IPO. IPOs cost much more money than to simply buy a shell, and then reverse merge into the shell (which has been the vehicle of choice for most OTCBB companies recently).

Besides the cost factor, there is the small matter of the formal, written prospectus that must accompany any IPO, which virtually no OTCBB company bothers to produce.

Lastly, MMs are not involved in IPOs, other than to make a market after the IPO debuts. Major brokerages, investment bankers, venture capitalists, wealthy private investors and others form the group that becomes the initial investors. And the major brokerages usually lead the underwriting efforts, either individually or as a team effort. The MMs have no involvement at all.
