I have heard of clauses like this before, but have not run into them before, and I do not think they are common. Not necessarily bad, although it should put a brake on the price. It's a lot better than IPOs from some of the scumbag underwriters where the the S-1 covers insider shares and says there a lockup but that the lockup can be waived by the underwriter. Those are often good short candidates after the inevitable pump, while the yahooligans swear up and down that insiders aren't selling.

The IPO price was $23. Looks like they left a little on the table, huh?
