The shut down problem is a known problem with Windows 98. Don't know about 2000.

I have a Dell Inspiron 5000. Worked fine at first. But as I loaded in more programs I started having the shut down problem.

Dell recommends just holding down the on/off button for about 5/10 seconds. Does the trick every time.
