My understanding:

1)

The Avaya spinoff will be completed by 9/30/2000. (The reason for the Avaya spinoff, and the reason for no Avaya IPO is that Avaya is the slow growth division of the current Lucent company -- which should allow the new Lucent to have a higher multiple going forward, due to the elimination of the slow growth Avaya.) Interest in an IPO of Avaya would be unattractive to many -- according to reports that I have read.

2)

The microelectronic unit IPO will occur by 3/30/2001, and the spinoff (remaining shares) to the Lucent shareholders will occur within 6 months of the IPO date.

I'm not sure if a tax free spinoff ruling (typically a formality), regarding the microelectronic unit, is required by the IRS, prior to spinoff -- is anyone aware if this issue was discussed by current Lucent management? (I listened to both conference calls, and can't remember if they spoke about the need for a tax free ruling.)

3)

I've searched vcall.com, and lucent.com - and can't find a way to re-listen to the conference calls. Does anybody know of a site that has the conference calls still available?
