[I can't think of anything I'd rather be doing at 3:42 in the morning than trying to understand the arcanery of accounting for ESOP's on a publically traded company's balance sheet....]

Maybe I can put you to sleep with my College Football Booster Club analogy. -g-

The Administration, students, and coaching staff of a college football powerhouse share an interest in the team doing really well with the Booster Club.

The college is only allowed to recruit and retain star football players using scholarships and rather pathetic non-financial perks that are allowed by the rules of the NCAA. The coaches know the players they want to attract, and somehow are able to make this information known to the Boosters. The Boosters are able to provide other incentives, such as free spending money, cars, and no-show jobs. These perks, for some reason, do not fit well on the NCAA's generally accepted athlete reporting forms. -g-

College President = Chairman of the Board
Head Coach = President and CEO
Booster Club = Shareholders
NCAA = FASB
Quarterback = Head of R&D, Chief Technologist
