OT GVTucker, Nihil, Rudedog and other investment tax-gurus,

Do you know of any brokerage firm I could move my IRA into that would allow me to invest my IRA into a private firm?

I'd like to avoid any enormous annual brokerage fees, and I would like to work with a brokerage firm where I don't have to pay a legal bill to make this happen, since I can get a contract from the company's legal firm.

One more question: is there any hidden tax clause or possible conditions that would ever require one to pay taxes on the stock in the IRA - I'm assuming there's no tax as long as it's never taken out of an IRA, right? And it doesn't matter what the cost basis is because any resulting tax would be an "income" tax, right? And one just pays tax only on what one takes out? Does using an IRA in any way "dirty up" the investment structure? Also, if the firm merged with another firm, I assume the investment would still remain under the tax protection umbrella that an IRA offers, so that no tax would result?

Can you think of any other tax risks that might be created with using an IRA to invest in private stocks?
