Hey Floyd - I just sent a PM to Francois on this subject which I gave him permission to excerpt or post. Just to clarify your statement, though: while I did casually read the Offering Memorandum at Francois's request, I was not formally retained by him to do so and it is not correct to say that I acted as his attorney in this regard. More importantly, I read the Memorandum only with an eye toward possible SEC action, and it was my sense that the likelihood of any such action was remote. I don't remember reviewing "invoices covering the purchase of stock." I would certainly not say that I performed a review sufficient in any way to confirm or rebut the conclusions of ZSUN's attorneys as to George's lawsuit.

As I think you know, since we corresponded on occasion since October, I stopped paying any attention to ZSUN around that time. I found out about the "Reg S abuses" (as I inelegantly put it, and which I should point out was my opinion only) only recently. -Eric
