REWICK Staff Reporter of THE WALL STREET JOURNAL NEW YORK -- Kozmo.com Inc. is in discussions to acquire archrival Urbanfetch.com Inc., potentially ending an intense competition between the two Internet-delivery firms, according to people familiar with the matter. An announcement of the all-stock purchase could come as early as next week, these people said. Urbanfetch (www.urbanfetch.com) will receive stock in Kozmo (www.kozmo.com), but the amount and value haven't been determined, according to the people. Both concerns are closely held. Telephone messages left at Urbanfetch's New York offices Wednesday weren't returned. The proposed merger, which was reported by the Industry Standard's online site, could help Kozmo reach profitability faster than expected. Cost savings are expected to come from merging the companies' operations and staffs in New York. Layoffs are expected, said people familiar with the deal. Earlier this week Kozmo said it laid off about 275 employees, or 10% of its work force, in an effort to cut costs and speed up profitability. Last month, Kozmo's founder and chief executive, Joseph Park, stepped down, though he remains chairman. The companies share a similar business model: Each promises delivery of goods such as video rentals, ice cream and other snacks, and electronics within an hour. Urbanfetch also delivers such big-ticket items as computer printers and air conditioners. Kozmo operates in 11 cities and Urbanfetch operates in two cities -- New York and London. Urbanfetch approached Kozmo about a sale, and the two companies have been in intense negotiations for about a month, according to people familiar with the matter. Kozmo sued Urbanfetch last year in New York State Court alleging that Urbanfetch had stolen Kozmo's business model. The companies settled out of court. Terms weren't disclosed. Kozmo has raised more than $250 million from such investors as Amazon.com Inc. and Starbucks Corp., both of Seattle, since it was founded in 1997 and launched in 1998.
