Let me try to understand your concerns.
The company last year had a balance sheet of just $2 million, it had zero in sales, it had some half dozen employees, little cash, BUT IT HAD A BIG DREAM.
Now one year later, it has a balance sheet of some $15 million, about $8 million IN NET TANGIBLE ASSETS. It as cash in the bank, it has revenues and growing fast, it has SIGNED relationships with national and international companies of fame, it has many of its own PAID FOR locations, it has well in excess of 50 employees, ALL PAID ON TIME SINCE THE COMPANY ENGAGED THEM, and has just signed a major financing deal to get enough cash to buy and acquier businesses and entities that will grow the company to great new heights.
AND YOU ARE CONCERNED ?
Come on, get real.
Now relax, enjoy a glass of wine, sit in front of the TV, and enjoy the rest of the weekend.
My advice to you is to put your shares in the safe, and come back next year. I assure you that if all goes well, they will be worth much more than the $2 or $3 that you seek.
I have stated it once and I'll say it again, I am determined to take this stock to $30 +.
Watch me do it., and make sure you are there to reap the benefits.

You mentioned that they are now $8 million and $15 million, respectively.

In answer to your questions,
1) I am NOT aware of any shorting at all in TVCP shares.
2) I have not personally, myself sold any shares in TVCP, In case you are stupid enough not to understand, I AM BUYING SHARES and investing more of my personal monies into the company. There will be a furter filing this week.
FYI, I HAVE INVESTED OVER $2 MILLION OF MY PERSONAL CASH INTO THE COMPANY ALL FOR RESTRICTED STOCK.
Furthermore, I have requested and persuaded associates and friends as well as bankers and financiers from all over the world to invest into the company. Todate, millions of their dollars have been invested to bring the company to where it is, and help us build it further.
3) Gene Rosov has NOT SOLD one single share. He transfered FOR NO CASH 100,000 to 2 departed employees as a gesture of good will. Those were restricted for 2 years
4) Alexander Walker, who is a director of the company is an ex SEC attorney. He has rights to sell shares if he so chooses. He knows to make SEC filings if he has sold shares. I suggest that if you have any questions for him, call or email him, and he will respond to you.
5) And as far as Antony Heller is concerned, he is a shareholder and like any shareholder has the absolute right to buy, acquire and or sell shares. He makes his filings and he does as he pleases. If you wish to ask him what he has done or not done, feel free to do so.
Just dont be surprised if he doesnt answer your calls.

In answering your question, No, Overseas Communications Limited has NOT sold one sinlge share, not in the last 6 months, and NOT in the past 18 months.It too has under my direction and advice accumulated and continues to accumulate shares.
I have NO interest or partnership or shareholding in any other companies involved in TVCP.
Like I stated in my previous statement, I and my friends and associates are INJECTING cash into the company, not selling or getting out.

The Michael Zwebner - Anthony Heller Scam:
1. Zwebner and Heller have been long time friends and business partners for approximatley 30 years.
2. TVCP, led by Zwebner, acquires a Toronto real estate property from Heller for approximately $2 million on Feb. 1999.
3. Heller receives 975,000 convertible preferred shares for $975,000 out of the $2 million in transaction value.
4. The 975,000 conv. pref. shares are convertible into TCVP common shares at the lowest market price during a certain period of time, chosen by Heller.
5. TVCP normally issues about 2 press releases per week. During a two month period, Sept.9,1999 to Nov.2,1999, TVCP issued Zero press releases.
6. TVCP's stock price dropped significantly during this period.
7. On December 1,1999, Heller notified TVCP that he chose that period to determine the conversion price. He chose the lowest price of the year, 5.83 cents/share.
8. At 5.83 cents/share, Heller now can convert his $975,000 worth of property into 16.7 million common shares of TVCP.
9. On Dec. 1st, the 16.7 million common shares of TVCP equaled approximately 60% of the total shares outstanding, a materially significant event for TVCP.
10. TVCP fails to notify the public stockholders of this notification by Heller until more than 4 months (April 13th, when 10-K was issued).
11. At this time, Heller was the only preferred stockholder of TVCP.
12. During the period Jan.1,2000 to July 7,2000, the preferred holders converted into, and were issued by TVCP a total of 12.5 million common shares of TVCP (out of the total of 16.7 million).
13. During the first six months of 2000 Anthony Heller sold at least 8 million of these common shares issued by TVCP to him.
14. Heller also transferred part of the preferred shares to another entity partly owned by the Chairman of TVCP.
15. The other entity that received preferred shares from Heller was Overseas Communications Ltd.
16. Overseas Communications Ltd. is 33% owned by Michael Zwebner, the Chairman of TVCP.
17. During June, 2000, TVCP again issued ZERO press releases (except for one), causing the stock to drop.
18. Heller and Zwebner's entity, Overseas Communications, used this low stock price period in June,2000 to invest additional funds into TVCP (the preferred sharesholders), but at signifcantly discounted prices, 35 cents per shares, and received MILLIONS OF ADDITIONAL TVCP COMMON SHARES.
19. Even though Heller has sold at least 8 million TVCP common shares and Zwebner has sold at least 3 million TVCP common shares for a total of 11 million common shares, neither has made the proper SEC filings to document these sales of TVCP common stock.
20. Did Zwebner agree to give Heller a sweet deal, 16.7 million common shares of TVCP for only $975,000 worth of Canadian Real Estate property, in order to received or acquire preferred stock from Heller at favorable prices?
21. Why is TVCP still, as of June 30, 2000, still allowing Heller to use the Toronto property as collarteral for a $600,000 loan?
22. During the period Jan. 1, 1999 to July 7, 2000, TVCP issued approximately 18 million (EIGHTEEN MILLION) common shares to Heller and to Zwebner's 33% owned entity in these transactions.
23. Is this the dilution that everyone has been talking about?
24. Is this part of the reason why TVCP's stock price has fallen from about $4.00 to 50 cents/share?

From a neutral ground
As some of you might know that I try to take an unbiased stand on issues, allow me to make some comments.
1. MVEE has more messages than TVCP but that does not make MVEE a rapidly growing company. If TVCP can produce a fraction of the noise it generates in this message board, we all would be better of.
2. It is unethical (and might even be unlawful) for parties involved in litigation to post in this message board and exchange any type of information.
3. Zorro, Worm et al have personal grudge against the chairman of TVCP. Either this should stop or be taken to a different forum and leave us, the innocent victims of your crusade, free from the side effects.
4. It is downright wrong for Zorro to produce any kind of email list (whether the list made any sense or not) in a public forum.
5. It is a poor judgment on the part of chairman to be involved in any transaction with a company owned by his brother or his long term associate. Even if such a transaction was made with good intentions, it gives ample room for conspiracy theories and rumors. I do not believe TVCP would have suffered without those transactions and hence I have no choice but to call the YAK or the toronto property dealings as against the interest of shareholders.
6. I believe that a long shareholder should be elected to the board of directors.
7. Worm's claim that TVCP didn't issue any PR during a month and because of that the stock price fell, is dumb. A stock price should not depend on frequent PRs. Further, the market has been very volatile for the past one year and any conclusion drawn about the stock price behavior is an exercise in vain.
8. Promises like the stock will be taken to $30+ without giving a precise deadline (like end of 2001 etc) is an empty promise.

It seems that as much as I and other directors put out information, some shareholders either don't listen, don't read or just plain don't understand. I wonder sometimes why they even seek responses, it seems they live in a world of make believe of their own.
In reply to some of your points,
I never met, never had dealings with, nor ever even knew of the Worm, or Les French. These people came into the life of TVCP with a malicious agenda of stirring up trouble and creating havoc. They have tried to use my personal past to scare shareholders away from TVCP. I wonder what their personal pasts look like, perhaps we shall see in due course. The court proceedings currently going on will "discover" their true motives, and I promise we will reveal all in due course.
To say or claim they have a grudge against me, while I see your and other members of the publics perspective, is not really true, as there is no reason nor basis for such any such grudge to be there. I have done NOTHING against them, and as they had NO dealings with the company, it too sees no reason for this animosity. This is just plain evil and vicious hatred developed from jealosy, and it seems that their minds and brains have not the ability to control their jealous emotions, and this is the nonsense we now get and have to deal with. All my attempts to just talk to these animals have fallen on deaf ears, why ? because they have a blind evil agenda, and have no desire to discuss their problem with us.
Worms constant repetition of his and others false lies and innuendos and fabrications shows the low level of his intelligence and the vicious malice inside his heart. And Les French's actions, claiming to protect the rights of privacy, and freedom of speech, ?!?!? well time will tell..
Regarding the acquisition of YAK. Let me tell you and others, that the YAK shareholders are NOT that eager for their company to be sold to TVCP. They believe that the company is worth much more that TVCP is paying.
YAK is a very very successful company, that my brother (and I) have conceived, developed and grown in Canada. The company has grown from ZERO revenues last year to now more than $1.4 million (CAD) per month and IS ALREADY PROFITABLE.
Enticing them to sell has been a job and a half, and all TVCP shareholders should be proud to own this company. As far as my holdings are concerned, my brother and I have and continue to make all disclosures and make all the neccessary filings with the SEC. It is only the false innuendos put out by Worm and others that has instilled fears of conspiracy theories and /or false illusions in your and other shareholders minds.
Lastly, your post as well as those of others, is living proof as to the effects of the evil posts of malicious posters getting to your heads. I do NOT blame you at all, but it confirms to me that the legal action I am taking is not only correct but very needed.

Three Reasons Why the_worm06 has
NO CHOICE
but to continue doing 12-20 hours of research per day, seven days a week, on TVCP and Michael J. Zwebner:
1. For the period Feb. 14th to May 24th:
To defend himself from the TVCP lawsuit.
2. For the period May 24th to Present:
To defend himself from the Zwebner lawsuit.
3. For the period June 4th to "as long as it takes":
To find (together with a certain government authority) the individual(s) responsible for planting a white powdery substance in an envelope in front of an apartment at 2:15 am June 4th and calling the police. Unfortunately the only person staying at the apartment at the time was the_worm06's mother, who is 68 years old and suffers from an irreversible neurological disease called "dystonia".
Due to the concern for her safety, the_worm06's mother has been out of the country since then (away from her beloved grandchildren). To this day, she continues to have severe flashbacks and traumatic nightmares about the incident. Her life will never be the same.
4. For the period June 4th to "as long as it takes":
To find (together with a certain government authority) the individual(s) responsible for hiring the private investigator (a former law enforcement agent) that was involved in overseeing the event described in #3 above.

Regarding the rantings and ravings of Michael J. Zwebner:
Once again, it becomes necessary to unsheath the sword of truth to pierce the side of darkness. Over the past weekend, Michael Zwebner, Chairman of Talk Visual Corporation (TVCP), posted at least 25 messages on the Raging Bull message board related to TVCP topics.
None of these messages, NOT ONE SINGLE COMMENT, addresses any of the issues raised by numerous posters, including myself, regarding the business defalcations of Zwebner and certain of his associates. In fact, Zwebner keeps accusing me of publishing "false, malicious lies" yet never has he once identified what information he considers to be a lie. He knows that the majority, if not all, of the information published is based in fact.
ZWEBNER STATEMENT: "There is no such list. I dare you to publish the list. You can't, because it doesn't exist."
FACT: I published the list which "didn't exist". Now Zwebner is flinging every accusation of "foul" and "falsehood".
ZWEBNER STATEMENT: "InternetZorro, we know who you are." Now Zwebner claims that he was given false information, but "we will track you down". Zwebner and his lawyers continue on a witch hunt to track this person down.
FACT: On July 17, 2000, I filed with the court sworn testimony in the form of an affidavit in which I disclosed the true and full identity of InternetZorro.
ZWEBNER STATEMENT: Les French cannot be served with a subpoena. He is "hiding in the hills".
FACT: Ever since June 12, Les French has been available for service, having filed a special appearance with the Mass. court. Defendant Villasenor has had NO difficulty in serving French at the specified address. Plaintiff Zwebner sought special permission from the court to serve by other means than personal service. MOTION FAILED! The next day, attorneys discovered they could serve me by mail, using the same address as was specified to the court.
I mention these by way of example to show how Zwebner is a master at twisting each and every little fact to give an impression which is the opposite of the truth!
The past two weeks, Zwebner has attempted to distract investors from the issues, by publicly appearing and attacking internetZorro, myself, and others. He has issued MORE promotional releases the past two months regarding his personal lawsuits, and other personal exploits, than he has regarding the activities of TVCP.
If investors have a sense that the affairs of TVCP are not being looked after, if the company is making inflated projections and much hype over "future deals" and "big financing to make acquisitions", and that insiders are selling huge quantities of TVCP stock into the market while asking legitimate investors to "hold long", it is because Zwebner and his cronies have focused their efforts on silencing their critics and not on managing a PRODUCTIVE public company.
Neither InternetZorro, the_worm06, nor Les French is the chairman of Talk Visual Corporation. We are not public companies, we are not public figures. We have not asked you to invest money with us. We have not pumped securities into the market place. We are just individuals, acting on our own, separately and individually. There is no conspiracy, there is no organizational structure.
I cannot speak for others, but my agenda is simple and unabashed: to point out the discrepancies and business defalcations which conflict with public statements made by TVCP and its chairman. This is material information which should be disclosed to the investors. How investors respond to that information is, as far as I am concerned, irrelevant.
