One thing it means is that if passed, mgmnt can split stock in the future 2:1 w/o another shareholder meeting. Currently about 175M (+/-) shares outstanding but only 300M authorized.

I agree with Aloha1 that authorizing of new shares is a good thing.

Remember, they would only be "potential" shares, so there is
no dilution in the value of currently outstanding shares of Comverse common stock.

Comverse did this same thing a few years ago -- making possible the last 2 stock splits:
16-Apr-99 [3:2], and 4-Apr-00 [2:1] .

Stock splits are generally agreed to be very good things.
Reverse stock splits (i.e. 1 for 10) are not so good things.
