U.S. antitrust officials extend scrutiny of JDS-SDL megamerger

NEPEAN, Ont. (CP) - Faced with a high-technology takeover valued at more than $40 billion US, American antitrust authorities are intensifying their scrutiny of the proposed acquisition of SDL Inc. by JDS Uniphase Corp. (NasdaqNM:JDSU - news)

JDS Uniphase, the Canadian-American leader in fibre-optic network components, said Thursday evening it had received requests from the U.S. Department of Justice for additional information about the all-stock deal.

The merger was valued at $41 billion US when it was announced July 10, and at the current price of JDS shares is worth about $44 billion US.

Thursday's move by Washington extends the waiting period for approval under the Hart-Scott-Rodino Antitrust Improvements Act, but the companies said such requests "are not unusual in a merger of this size that involves new, rapidly changing and important technologies."

They added in a news release that they still expect to complete the transaction by the end of the year.

A combination of JDS and SDL would control as much as 90 per cent of pump laser module production, according to one study. However, JDS executives have said several other competitors are entering the market.
