Nuance filed for secondary offering of 3 mln shares
MENLO PARK, Calif., Sept 1 (Reuters) - Nuance Communications Inc.(NasdaqNM:NUAN - news), maker of softwre that allows Internet information and services to be available via the telephone, on Friday said it filed to sell 3 million shares of common stock in a secondary offering.

The company said it expects to offer 1.2 million shares and certain stockholders are expected to offer 1.8 million.

The offering is underwritten by Goldman, Sachs & Co., Credit Suisse First Boston, Thomas Weisel Partners LLC and Wit SoundView.

Nuance shares first became publicly traded April 13 when the company offered 4.5 million shares at $17 a share. On Friday shares of Nuance closed at 152-1/16. The company's high was 182.

I think it should be of some concern that many investors in nuan only paid $17 or less (insiders) for their shares. I would bet there are many shareholders out there that are feeling rich right now and spending accordingly. I think some of them may have some bills to pay and if there is a slide in the stock price you could see momentum down as the lockup period gets closer and shortly after it ends. Also, people that paid say $100 or $120 may get nervous as the lock up expiration approachs and decide to sell and lock in profits before the insiders get a chance to.
