as for the prospectus. i've skimmed it and didn't see anything that really stuck out. gotta like the customer list, though:
Our customers include major communications equipment manufacturers,
including Cisco Systems, General Instrument, Marconi Communications and
Pandacom, which were our largest customers by revenues during the six months
ended June 30, 2000. In addition we sell our products to customers through our
distributors. The three largest customers by revenue for our products sold
through our distributors during the six months ended June 30, 2000 were
Cabletron Systems, Extreme Networks and Foundry Networks.

Sector: Thanks for the info. Here's a cogent read on MRVC's situation from a threadster over on Clearstation:

The pull back in MRVC has been steeper than the average drop per stock in the sector. It's obvious that the sheer number of new individual stock holders (check latest S3) related to the recent acquisitions of MRVC are dramatically impacting the price (see volume) as they cash in their new found riches. Remember guys, 95% of the names in the filing appeared to be located off shores in the South East. I'm almost certain many of them sold some or all of their position as it became available. Basically as I see it a bunch of high tech-blue collar manufacturing guys and girls that just hit the jackpot! Cheers to them! But cheers at our expense. The above in combination of a general deflation in valuation multiples of fiber optics related concerns and over all tech and biotech operations has cut the price by 35% since the high set Friday September 1st. MRVC leads the fiber optic pack in percentage of price decline compared to most in its industry. Is it now 'cheaper' to get into LUMN at these prices? Maybe, buy only if MRVC runs in anticipation of the MRVC IPO. All of a sudden though, many stocks in the fiber optics look overvalued. We seem to have warped the perspective in the last couple trading days on high growth sectors selling at steep multiples. On the technical side the stock is moving in on a speculative bottom. The near term lows at 48 set 8/2 and 8/3 should provide some congestion before deciding next where to take-off. I like MRVC at these levels.

This seems an intelligent answer to the situation. Now let's see if the market (or those aforementioned "jackpot" off-shore folk) is done ripping shark like chunks of valuation out of MRVC.
