Some analysts say approval of the all-stock transaction will rest on JDS's willingness to sell off its key manufacturing facility in Zurich. The facility, which could be sold for as much as $3-billion, would likely be sold to Corning Inc., another fibre-optics rival, analysts say. I've talked to sources close to the company (one inside, one in the industry) and both say losing the Zurich facility would not be devastating. They do not have state-of-the-art processes and is, in fact, one of the reasons JDS is buying SDL. (Not the primary reason, merely a reason.) Pat
