CATS shareholders,
I voted NO to the options grant the CATS BOD wants the shareholders to approve on the following grounds:
1. The share price will be diluted 15 to 20%
2. Insiders already control close to 45% of outstanding shares, if we approve this gift they are giving themselves, they will have full control of the company and next year they could grant them another couple million "free" shares, and no one will be able to stop them.
3. If they want to attract/retain top notch engineers, let them issue a "much smaller" number of options "only" for that purpose and not to reward themselves like INTEL executives.
4. Current management has done a good job, but the share price isn't there yet where it should be based on fundamentals, I think we could think about this issue next year, and reward them accordingly.
5. I think this issue is preventing institutions and other private investors to buy at this point. I would do the same,
if the options get approved, the price will probably fall.

This is MHO and I know every one should vote with his/her best interests in mind. I have been a CATS shareholder for a long term as my posts here attest (you can go ba
ck to 97,98,99)
We are about to be nicely rewarded if we stop them at this game. I think we deserve that, and probably a stock split instead of more freebies for the BOD.
